I’m one of the new participants getting my feet wet in what I see unfolding to be a vibrant and expansive world of exempt markets. My decades of expertise comes from the public company spectrum. Who would have thought that my B.Mus. degree from UBC would set me on track and lead me into the world of corporate finance and securities work? Studying music and playing and teaching classical piano kept me intrigued and challenged, but I concluded that this was not my passion for a long-term career. For me, the path to finding my impetus has always been to focus on my passions, dip into the unknown, get my feet wet and see what turns up. The corporate finance world was just the ticket.
Remember Black Monday in 1987, the dot-com bubble in 2000, and the U.S. housing bubble in 2008? It seems certain that somewhere along the track, each of us in the industry is affected economically and emotionally, enough to start thinking about where we are and what we are doing, brainstorming and creating out-of-the-box ideas, fighting to part with our status quo minds to make room for effective on-trend solutions. The exempt markets is an emerging arena for just this kind of expansive thinking that I am eager to tap into.
After a couple of decades honing my skills as a corporate securities paralegal in several top-notch Vancouver law firms, notably Catalyst Corporate Finance Lawyers, Lang Michener LLP (now McMillan LLP) and Clark Wilson LLP, I took the plunge to jump-start my company, Take It Public Services Inc., now successfully into its fifth year. Mind you, I was not an overnight sensation nor a prized prodigy. In fact, as a junior legal secretary in my twenties, I lacked experience and confidence, and made errors in my work. To my surprise and with maturity, this learning curve became my gift and strength and I was able to reframe and refine my skills. Now I am able to mitigate margin for error, like refining and performing a complex piece of music, which, in my opinion, is a defining factor for my business success.
One blessing in disguise came in the form of becoming a niche specific business. A couple of years ago, I was keeping busy with a handful of solid active clients. I wanted to expand and grow. It was in September of 2014 that I hired my first full-time paralegal on contract, which allowed me more time to focus on business development. Within a year, my client-base increased to over 30 as well as 80 SEDAR clients, with the assistance of a dedicated SEDAR filer and two additional part-time contractors.
I look back on the importance and significance of my pedagogical training required as a piano teacher, of how it has provided a cross-platform advantage into my current profession. It has influenced me to create solid systems and protocols for my business, to research effectively, to train and delegate staff diligently so that they produce superb quality of work, and to refine my skills as a business owner and entrepreneur.

For Exempt Markets
As announced by the Canadian Securities Administrators (CSA), the impending amendments to National Instrument 13-101 System for Electronic Document Analysis and Retrieval (SEDAR), and Multilateral Instrument 13-102 System Fees for SEDAR and NRD which comes into effect on May 24, 2016, urged me to look at servicing small and medium size enterprises, as well as large private corporations. These amendments will affect certain exempt market filings such as offering memorandums and reports of exempt distributions, which are currently paper filed and will be replaced with electronic filings on SEDAR, as this is intended to be a temporary measure for a longer-term CSA project to create a single integrated filing system for exempt market filings.
